Terms of Service

1. Acceptance

By visiting the site, recording a voice memo, booking a call, or otherwise engaging with us through the site, you agree to these Terms. If you do not agree, do not use the site.

If you are using the site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The services we offer

ServiceAgent designs and builds custom AI systems for businesses. Through our website, you can:

• Record a voice memo describing your business.
• Book a discovery call.
• Receive pre-call educational content and demos.
• Learn about systems we have built for other businesses.

The site itself does not constitute a contractual offer to deliver paid services. Any paid engagement is initiated by a signed MSA between you and us.

3. Your account and information

We do not require accounts to use the site. When you submit information (a voice memo, contact details, booking responses), you agree that the information you provide is accurate and that you are authorized to provide it.

You are responsible for maintaining the confidentiality of any communications between us, including content from your voice memo and our pre-call materials.

4. Acceptable use

You agree not to:

• Use the site or services to violate any law or third-party right.
• Upload or submit content you do not have the right to share, including confidential information of any third party.
• Submit content that is unlawful, defamatory, infringing, or harmful.
• Attempt to access non-public areas of the site, interfere with the site's operation, or probe for vulnerabilities (unless coordinated with us through responsible disclosure).
• Use the site to send unsolicited communications.
• Reverse engineer, copy, or scrape the site beyond what is permitted by applicable law.
• Misrepresent your identity or your authority to act on behalf of an organization.

5. Content you submit

You retain ownership of content you submit through the site (voice memos, booking responses, business information). By submitting this content, you grant us a non-exclusive, worldwide, royalty-free license to use it for the limited purposes of:

• Responding to your inquiry and preparing for our call.
• Designing and demonstrating a system tailored to your business.
• Communicating with you about your engagement.
• Operating and improving our services.

We do not use your business information or voice memos to train third-party AI models. We do not sell your content.

You represent that you have the right to share the content you submit, and that doing so does not violate any duty of confidentiality or third-party right.

6. Intellectual property

The site, including its text, design, code, graphics, logos, and demos, is the property of ServiceAgent or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any ownership in our intellectual property to you.

For paid engagements, the ownership of code and deliverables we build for you is governed by your MSA. As a general matter, our standard practice is to transfer ownership of custom builds to the client upon completion.

7. Our 6-week guarantee

If your paid engagement does not result in your system running live in your business within six (6) weeks of contract signing, you are entitled to a full refund of fees paid, and you keep any code or work product delivered.

The specific operation of this guarantee, including triggering conditions, exclusions for client-caused delays, and refund mechanics, is defined in your MSA. This Section provides a high-level statement of our standard guarantee but is not itself the operative contractual commitment.

8. Fees

Use of the website itself is free. Paid services are billed according to the MSA you sign. Our standard arrangement is a monthly fee over a 12-month engagement term; specific pricing is established in each MSA.

9. Confidentiality

Information you share with us before signing an MSA is handled in good faith and treated as commercially confidential. We do not share your business details, voice memos, or engagement plans with third parties outside our subprocessors (see our Privacy Policy).

If you require a formal NDA before our call, request one and we will sign before discussing sensitive details.

10. Third-party services and links

Our site uses third-party tools (Cal.com for scheduling, OpenAI for transcription, Resend for email, and others). These tools are operated by their respective providers under their own terms and privacy policies. We are not responsible for the practices of third parties.

The site may link to third-party websites. Following those links is at your own risk.

11. Disclaimers

THE SITE AND OUR PRE-ENGAGEMENT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the site will be uninterrupted, error-free, or secure, or that defects will be corrected. Demos and pre-call materials are illustrative; commitments regarding any paid engagement are governed exclusively by the MSA.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SERVICEAGENT, ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRE-ENGAGEMENT SERVICES, WHETHER BASED ON CONTRACT, TORT, OR OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our aggregate liability arising out of or related to your use of the site or pre-engagement services will not exceed one hundred U.S. dollars ($100). Liability under a paid engagement is governed by the MSA.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations apply to the maximum extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless ServiceAgent and its officers, employees, and agents from any claim, demand, loss, or damages (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) content you submit through the site.

14. Termination

We may suspend or terminate your access to the site at any time, for any reason, including breach of these Terms. You may stop using the site at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms is the state and federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

Before filing a claim, you agree to first attempt to resolve the dispute informally by contacting us at p@serviceagent.dev.

16. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top. Material changes will be communicated through the site. Continued use of the site after a change constitutes acceptance of the revised Terms.

17. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any MSA we sign, constitute the entire agreement between you and ServiceAgent regarding the site.

Severability. If any provision is held invalid, the remaining provisions remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

No agency. Nothing in these Terms creates an agency, partnership, or joint venture between you and ServiceAgent.
